By accessing and using LedgerApp (the "Service"), you accept and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use the Service.

These terms constitute a legally binding agreement between you and LedgerApp. By creating an account or using our Service, you represent that you have read, understood, and agree to be bound by these Terms.

2. Use License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal or commercial expense tracking purposes.

Under this license, you may not:

• Modify, copy, or create derivative works of the Service
• Reverse engineer, decompile, or attempt to extract source code
• Remove any copyright, trademark, or proprietary notices
• Use the Service for any unlawful purpose or in violation of these Terms
• Transfer, sublicense, or sell your access to the Service
• Use automated systems to access the Service without permission

3. User Accounts

When you create an account, you must provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to:

4. Subscriptions and Billing

4.1 Subscription Plans

We offer various subscription tiers (Free, Starter, Pro, Enterprise). Your subscription will automatically renew at the end of each billing period unless you cancel it.

4.2 Payment Terms

• Subscriptions are billed in advance on a monthly basis
• All fees are in US Dollars unless otherwise stated
• Payment is processed securely through our payment provider (Stripe)
• You authorize us to charge your payment method automatically
• Failure to pay may result in service suspension or termination

4.3 Price Changes

We reserve the right to modify our pricing with 30 days notice. Price changes will take effect at the start of your next billing cycle. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Free Plan

We offer a free plan for teams with up to 3 members. The free plan includes unlimited expense tracking and basic features at no cost. When you upgrade to a paid plan, your payment method will be charged immediately for the selected subscription period.

You may upgrade or downgrade your plan at any time. Changes to your subscription will be reflected in your next billing cycle.

6. Cancellation and Refunds

6.1 Cancellation

You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of your current billing period, and you retain access until then.

6.2 Refund Policy

We offer a 30-day money-back guarantee on all new paid subscriptions. To request a refund, contact us at [email protected] within 30 days of your initial purchase. Refunds are not available for renewals or upgrades.

7. User Content and Data

You retain all rights to the content and data you upload to the Service (expense records, receipts, notes, etc.). By using the Service, you grant us a limited license to store, process, and display your content solely for the purpose of providing the Service.

You are responsible for:

• The accuracy and legality of all content you upload
• Maintaining backups of your important data
• Ensuring you have rights to upload and share all content
• Complying with all applicable laws regarding your content

8. Prohibited Uses

You may not use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Transmit malware, viruses, or harmful code
• Harass, abuse, or harm other users
• Attempt to gain unauthorized access to our systems
• Engage in fraudulent activity or money laundering
• Scrape or collect data without permission
• Impersonate others or misrepresent your affiliation

9. Service Availability

While we strive for 99.9% uptime, we do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or modifications that temporarily affect availability. We will provide notice of scheduled maintenance when possible.

We reserve the right to modify or discontinue the Service (or any part thereof) at any time with or without notice.

10. Termination

We reserve the right to suspend or terminate your access to the Service immediately, without prior notice, for any reason including but not limited to:

• Breach of these Terms and Conditions
• Fraudulent activity or payment disputes
• Violation of applicable laws
• Extended period of inactivity
• Risk to security or integrity of the Service

Upon termination, you will lose access to your account and all associated data. We may retain your data for a limited period to comply with legal obligations.

11. Intellectual Property

The Service and all content, features, and functionality are owned by LedgerApp and are protected by international copyright, trademark, and other intellectual property laws.

Our trademarks, logos, and service marks may not be used without our prior written permission. All other trademarks are the property of their respective owners.

12. Limitation of Liability

To the maximum extent permitted by law, LedgerApp shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill.

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

Some jurisdictions do not allow certain liability limitations, so some of the above may not apply to you.

13. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be error-free, secure, or uninterrupted, or that defects will be corrected.

14. Indemnification

You agree to indemnify and hold harmless LedgerApp, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

15. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through a notice on the Service at least 30 days before the changes take effect.

Your continued use of the Service after changes become effective constitutes acceptance of the new Terms. If you do not agree to the changes, you must stop using the Service and cancel your account.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
